1. Definitions

"Agreement" means these Terms & Conditions including Schedules and Policies referenced herein. "Platform" means the UdayBharat Mart marketplace, apps, and related services operated by No Data from No Data. "Vendor" means the person/entity that lists Products and sells to End-Customers via the Platform. "Products" include all goods/services you list. "Orders" means purchase orders placed by End-Customers. "Fees" includes commissions, service fees, logistics charges, penalties and any applicable taxes. "Policies" means Platform rules published and updated from time to time.

2. Acceptance; Click-Wrap Consent

You accept this Agreement by clicking "Accept". We maintain electronic records (IP address, timestamp, device data, version). You agree electronic acceptance is equivalent to a signed written contract under the Information Technology Act, 2000.

3. Eligibility; Onboarding

  • You must provide accurate KYC and tax details (PAN, GSTIN, IEC if applicable), proof of business, bank account, and contact information; you authorise verification with issuing authorities and credit bureaus.
  • You warrant you have full authority to bind the Vendor and that your listings comply with Indian laws including Consumer Protection Act 2019, Legal Metrology Act/Rules, Drugs & Cosmetics rules (if applicable), FSSAI (for food), BIS/BEE where required, and any local/state permits.
  • We may approve/reject/suspend onboarding at our sole discretion.

4. Relationship; Marketplace Role

We act as an intermediary marketplace facilitating listing, discovery, order processing, payment collection and optional logistics. We are not the seller of record for Vendor-fulfilled Products unless expressly stated. You remain solely responsible for Products, statutory compliance, invoicing (where applicable), after-sales, and warranties.

5. Listing & Content Control

  • You must ensure listings are accurate, lawful, complete and include mandatory declarations (MRP, net quantity, packer/manufacturer details, FSSAI/BIS/BEE numbers, expiry/manufacture date, warranty terms, country of origin, HSN, GST rate).
  • We may edit, reformat, translate, reclassify, de-duplicate, or remove listings; control placements, search ranking, visibility, and merchandising at our sole discretion.
  • You grant us a worldwide, royalty-free licence to use your trademarks, images, descriptions, and catalog data for listing, ads, offers, PR, and platform improvement.
  • You must not upload unlawful/defamatory/counterfeit/infringing content or use third-party IP without licence. You remain liable for all content provided by you.

6. Prohibited & Restricted Products

You shall not list Products in Schedule C (Prohibited/Restricted). If any listing violates law or policy, we may remove it, cancel Orders, and levy penalties/indemnities.

7. Pricing, Promotions & Discounts

  • You control the listed price (subject to law). We may run Platform-funded or Vendor-funded promotions. For Vendor-funded offers, your consent may be obtained via dashboard controls or commercial terms.
  • To protect customer experience, we may cap/min/max prices, require price parity with your other channels, and suspend inflated/abusive pricing.
  • You authorise us to apply Platform coupons and cashbacks. Unless expressly Platform-funded, promotional reductions are deducted from your settlement.

8. Inventory, Fulfilment & SLAs

You must maintain accurate stock and meet the service levels in Schedule A. Models:

  • Vendor-Fulfilled: You pick/pack/ship using approved labels and hand over to an approved carrier within T+1 business day (unless otherwise agreed).
  • UBM Fulfilled (Optional): You send stock to our facility; we store, pack, ship, manage returns. Storage/fulfilment fees apply (see Schedule B).

Failure to meet SLAs may attract penalties, reduced visibility, order throttling, or suspension.

9. Returns, Cancellations & After-Sales

  • Customer return windows per category are defined in Schedule A. You shall honour no-questions returns where applicable and manufacturer warranty processes.
  • Where return is due to your fault (wrong/defective/damaged/missing), you bear two-way logistics and refund. For remorse returns (where allowed), policy in Schedule A applies.
  • You must process refunds/replacements within the timelines in Schedule A. We may auto-authorise refunds for customer trust and deduct from your settlement.
  • We may refurbish or liquidate unclaimed/abandoned returns after notice, netting proceeds against your dues.

10. Payments, Settlements, Reserves

  • We collect customer payments on your behalf. Settlements are made to your bank per cycle (e.g., T+2/T+7) net of Fees, returns, chargebacks, penalties, and taxes.
  • We may maintain a rolling reserve/withhold amounts if (a) dispute/chargeback risk increases, (b) performance drops below thresholds, (c) fraud/complaints spike, (d) regulatory directions require.
  • You authorise set-off against any amounts payable by you to us (cross-entity set-off within our group permitted).
  • Tax: You are responsible for GST compliance, e-invoicing where applicable, and accurate HSN/GST rate mapping. TCS/TDS may be collected as per law.

11. Fees & Penalties

Fees and penalties are outlined in Schedule B and may be updated by notice. We may deduct Fees/penalties from settlement or invoice you separately.

12. Chargebacks, Fraud & Counterfeit

  • You are liable for fraud arising from your actions/omissions (counterfeit, description mismatch, empty box, used/expired items, serial number tampering).
  • On credible reports of counterfeit/infringement, we may immediately delist Products, hold settlements, and share information with rights-holders/law enforcement.

13. Compliance & Audit Rights

  • You must comply with all applicable laws (consumer, product safety, FSSAI, Legal Metrology, drugs/cosmetics, electrical safety, customs, environment/E-waste, labelling, advertising, and state-specific licences).
  • We may audit your facilities, processes, records (on reasonable notice) and require corrective actions, certifications, or third-party lab tests at your cost where non-compliance is found.
  • You will maintain and provide invoices, batch/lot/serial data, and traceability records for 8 years or longer if law requires.

14. Data, Privacy & Communications

  • You may use customer personal data solely to fulfil Orders and after-sales. No off-platform marketing/spam/retargeting. On our request, you must delete such data (except where law requires retention).
  • We may process Vendor data and performance metrics to operate and improve the Platform, including analytics and risk scoring.
  • You consent to receive operational, legal, and marketing communications from us.
